Agreement to terms

These Terms govern access to and use of the Services. By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 or the age of majority in your jurisdiction to create an account, unless a parent or legal guardian has provided consent for a dependent account as permitted.

Accounts and authentication

Provide accurate information, keep credentials confidential, and promptly update account details. You are responsible for activities under your account.

Relationship and medical disclaimer

Italic is not a healthcare provider and does not practice medicine. Outputs are summaries and organization of data with provenance for clinician review. Always seek the advice of a qualified clinician for medical decisions.

Provider customers and BAAs

For provider organizations, a BAA will govern Italic's processing of PHI. In case of conflict between these Terms and a signed BAA or order form, the BAA or order form controls for covered services.

Acceptable use

Use the Services only for lawful purposes and in line with these Terms, documentation, and applicable policies. Do not misuse the Services or interfere with their operation.

Prohibited activities

  • Attempt to bypass security, rate limits, or access controls.
  • Reverse engineer or derive source code except to the extent allowed by law.
  • Upload unlawful, harmful, or infringing content.
  • Use the Services to provide medical diagnosis or treatment without a licensed professional's independent review.
  • Use for high-risk scenarios where failure could lead to injury without appropriate safeguards.
  • Resell or sublicense the Services without written permission.

AI features

AI features generate outputs based on inputs and data sources and can be inaccurate. Always review outputs before relying on them. Italic may apply safeguards such as throttling, filtering, and content restrictions.

RWE and TEFCA use limits

RWE use of identifiable data requires explicit authorization, separate from TEFCA purposes. TEFCA-sourced data will not be repurposed for RWE without that authorization or de-identification consistent with law and contract.

Advertising and research recruitment

Italic may offer future advertising and opt-in clinical research recruitment features. Identifiable recruitment requires separate, explicit authorization. We do not use PHI for ad targeting. Users may disable non-essential ad cookies and withdraw recruitment consent at any time.

Data inputs and licenses

You grant Italic a non-exclusive license to process content you submit to operate and improve the Services, including to host, transmit, display, and transform it, subject to the Privacy Policy and applicable BAAs. You represent you have all rights needed to submit content and to permit Italic to process it.

De-identified data

Italic may create and use de-identified and aggregated data for analytics, security, and service improvement. Italic will maintain de-identification practices consistent with applicable standards.

Subprocessors

Italic uses vetted vendors to provide infrastructure, identity proofing, payments, communications, analytics, and support. Italic remains responsible for subprocessors' performance. A current list is available at /legal/subprocessors.

Payment and refunds

Paid plans, usage limits, fees, billing cycles, and taxes are described at the time of order. Charges are billed to your payment method. Failure to pay may result in suspension. Refunds and proration: monthly plans are non-refundable after the current period starts; annual plans prorate on termination for Italic breach or SLA credits; chargebacks may lead to suspension.

Beta features

Italic may offer experimental or preview features. They may change or be discontinued. They are provided as-is and may have additional terms.

Service levels and remedies

Uptime targets:

Free: none; Plus: 99.5%; Pro: 99.9%, measured monthly excluding planned maintenance with 7-day notice where practicable and events beyond reasonable control.

Credits:

Pro: 5% of monthly fee per 30 minutes of Qualifying Downtime after the first 30 minutes, capped at 100% for the month; Plus: 2% per hour, capped at 50%.

Incident communications:

confirm P1 incidents within 1 hour; provide updates every 60 minutes until mitigation; postmortem within 5 business days.

DR targets:

RTO 24 hours; RPO 1 hour for core PHI stores.

Support

Free: email support. Plus/Pro: email and ticketing; Pro includes priority channel and named contacts.

Suspension and termination

Italic may suspend or terminate access for breach, security risk, fraud, or non-payment. You may discontinue use at any time. Upon termination, Italic will retain or delete data consistent with the Privacy Policy, BAAs, and legal obligations.

Termination data handling and export

Upon written request within 30 days of termination, Italic provides a one-time export (FHIR, C-CDA, CSV, or PDF) via secure link or SFTP. After the export window, data is deleted or archived per retention schedules and any BAA.

Feedback

If you submit feedback or suggestions, Italic may use them without restriction or obligation.

Ownership

Italic and its licensors own the Services, including software, documentation, and branding. No rights are granted except as stated in these Terms.

Third-party services

The Services may interoperate with third-party products. Italic does not control third-party terms or availability. Your use of third-party products is at your option and may be subject to separate terms.

SMS, email, calls, and electronic records

You consent to receive transactional emails, SMS/MMS, push notifications, and calls related to the Services, including authentication, appointment updates, and security alerts. Promotional messages require your opt-in and can be withdrawn at any time (STOP for SMS; unsubscribe for email; request to be added to our do-not-call list for calls). Message and data rates may apply. We honor opt-out requests within a reasonable period. Certain essential communications are necessary for the Services and may not be disabled. You agree to electronic signatures and records where permitted by law.

Confidentiality

Each party agrees to protect the other party's confidential information using reasonable safeguards and to use it only for the purposes of the relationship. PHI is handled under the Privacy Policy and any BAA.

Security and incidents

Italic maintains administrative, technical, and physical safeguards designed to protect data. If Italic becomes aware of a security incident affecting your data, Italic will investigate and notify you as required by law and contract.

Warranties and disclaimers

The Services are provided "as is" and "as available." Italic disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Italic does not warrant uninterrupted or error-free operation.

Limitation of liability

To the maximum extent permitted by law, Italic will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. Italic's aggregate liability arising out of or relating to the Services will not exceed the amounts paid to Italic for the Services giving rise to the claim in the twelve months before the event.

Indemnification

You will defend and indemnify Italic against claims arising from your content or your misuse of the Services, except to the extent caused by Italic.

Dispute resolution

Governing law.

Delaware law, without regard to conflicts principles.

Arbitration.

Any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Rules; seat Wilmington, Delaware; English language. Either party may seek injunctive relief in a court of competent jurisdiction.

Class action waiver.

Disputes will be resolved on an individual basis. No class actions or class arbitration.

Costs.

JAMS consumer fee rules for individual users; for business users, fees split as the arbitrator decides.

Opt-out.

You may opt out of arbitration within 30 days of first acceptance by emailing legal@italichealth.com with subject "Arbitration Opt-Out" and your account email.

Mass-arbitration protocol.

Batching, bellwethers, and staged filing fees to promote efficiency.

Export and sanctions

You represent that you are not located in an embargoed country and are not on a government sanctions list. You will comply with export control and sanctions laws.

Italic aims to meet WCAG 2.2 AA over time. Requests for accommodation: hello@italichealth.com.

Open-source notices

Open-source components and licenses will be posted at /legal/oss.

Changes to the Terms; miscellaneous

Italic may update these Terms by posting a revised version with a new effective date. Material changes may include reasonable notice. Continued use after changes means acceptance.

Entire agreement.

These Terms, the Privacy Policy, order forms, and any BAA form the complete agreement for the Services.

Severability.

If any provision is unenforceable, the rest remains in effect.

Assignment.

You may not assign without consent, except in connection with a merger or sale of assets. Italic may assign to an affiliate or successor.

Force majeure.

Neither party is liable for delays or failure caused by events beyond reasonable control.
